1. Agreement

By accessing and using KayAI, you agree to these Terms & Conditions. If you do not agree, do not use the service.

2. Service Description

Live products: HubSubs (subscription management), HubRSVP (event RSVP tracking), HubDash (live dashboards).

Coming Q4 2026: HubChat (email-based CRM replies). Estimated release, not guaranteed.

The service is provided "as-is". We make no guarantee it will be error-free or uninterrupted, though we aim for high reliability.

3. Eligibility

• You must be 18+ to use KayAI
• You must be authorized to connect your HubSpot portal
• You must not use KayAI to violate laws or others' rights

4. Subscription & Billing

4.1 Founding Member Pricing

• A$49/month for 5 seats, all apps in the suite
• Extra seats: A$9/month each, billed immediately and prorated from today
• Price lock: Founding members keep this price for life, unless you cancel
• New signups: Price may increase in the future (you are locked in if you subscribe now)

4.2 Billing Cycle

• Subscriptions renew automatically each month
• You will be billed on the same date each month
• If billing fails, we'll retry for 14 days before suspending your account

4.3 Extra Seats

• Charged immediately when added
• Prorated from the day of addition to your next billing date
• Can be removed any time from Settings (credited on next invoice)

5. Refunds & Cancellation

5.1 14-Day Money Back Guarantee

If you're not satisfied, you can cancel within 14 days of your first charge for a full refund. After 14 days, subscriptions are non-refundable for the current month, but you can cancel at any time.

5.2 How to Cancel

Go to Settings → Billing → Cancel Subscription. Cancellation is immediate. Your account will remain active until the end of your billing cycle.

5.3 Refund Process

• Eligible refunds are processed within 5-10 business days
• Refunded to your original payment method
• Extra seat charges are prorated and credited on next invoice, not refunded

6. Acceptable Use

You may not use KayAI to:

• Violate laws or regulations
• Infringe on others' intellectual property
• Harass, threaten, or abuse others
• Send spam or unsolicited communications
• Hack, reverse-engineer, or try to break the service
• Resell the service or share access with unauthorized users
• Violate HubSpot's Terms (you remain bound by HubSpot's terms)

7. Your Content & HubSpot Data

7.1 Your Data Ownership

• You own all data in your HubSpot portal
• You own all contacts, companies, deals, custom objects
• KayAI reads and displays this data only with your permission

7.2 What We Can Access

• KayAI reads from your HubSpot portal using the token you provide
• We can only access what your token grants (scope of permissions)
• You can revoke access at any time by deleting the token in HubSpot

7.3 What We Write

• HubSubs: Writes subscription list status when you click "Subscribe/Unsubscribe"
• HubRSVP: Writes RSVP status labels when you update attendance
• HubDash: Read-only (never writes)
• HubChat: Never writes (only reads to understand context)

8. Limited Liability

8.1 Disclaimer

KayAI is provided "as-is" without warranties. We do not guarantee:

• The service will be error-free or uninterrupted
• Data will not be lost (though we back up regularly)
• The service will meet your specific needs

8.2 Limitation of Liability

Except where prohibited by law, our liability is limited to the amount you paid in the last 12 months. We are not liable for:

• Lost profits or revenue
• Loss of data or business interruption
• Consequential, indirect, or punitive damages

9. Termination

9.1 You Can Cancel Anytime

Cancel your subscription at any time with no penalties. Your account remains active through the end of your billing cycle.

9.2 We May Suspend/Terminate If

• You violate these Terms
• Payment fails and cannot be recovered
• You use the service illegally or harmfully

We will attempt to notify you before termination.

9.3 Upon Termination

• You lose access to KayAI
• Your account data is deleted within 30 days
• HubSpot data is not affected (you own it)

10. Intellectual Property

• KayAI IP: We own all code, design, trademarks, logos
• Your license: You have a limited, personal license to use KayAI
• You may not: Copy, modify, reverse-engineer, or resell KayAI

11. Third-Party Services

KayAI integrates with third-party services (Stripe, Google, HubSpot). You are bound by their terms:

• Stripe: Payment processing, PCI compliance (stripe.com/legal)
• Google: OAuth authentication, APIs (google.com/policies)
• HubSpot: CRM platform (hubspot.com/legal)

We are not liable for their actions or outages.

12. Indemnification

You agree to indemnify (defend and compensate) KayAI against claims arising from:

• Your misuse of the service
• Your violation of these Terms
• Your violation of laws
• Your infringement of others' rights

13. Dispute Resolution

13.1 Informal Resolution

Before legal action, contact support@kayai.app. We'll try to resolve disputes within 30 days.

13.2 Jurisdiction

These Terms are governed by Australian law. Any disputes are resolved in Australian courts.

13.3 Small Claims

For claims under A$5000, either party may pursue small claims court instead of full litigation.

14. Changes to Terms

We may update these Terms. Changes are effective when posted. Continued use means you accept the changes.
